What it means
Public financing requires more than choosing an interest rate, because the issuer needs lawful authority to borrow, an approved financing structure, security terms, and documents that match the sale. Bond counsel reviews applicable requirements and helps prepare resolutions, indentures, loan agreements, or other instruments.
The MSRB describes bond counsel as a member of an initial municipal bond financing team, with a role that includes reviewing legal requirements and drafting financing documents. The underwriter's counsel is a different role, advising the underwriter and helping with securities-law diligence.
An engagement letter should identify whom the lawyer represents. If counsel represents the issuer, the lawyer does not automatically represent every investor, the underwriter, or the project contractor.
Investors may rely on a stated legal opinion under its terms without becoming the lawyer's clients for every business question. A legal opinion can address validity and, where relevant and within the opinion's scope, tax treatment.
Read the opinion's assumptions, qualifications, and date, because it cannot guarantee that the issuer will have enough cash to repay debt or that a bond's market price will remain stable. Tax treatment requires particular care, since public debt may be taxable or eligible for a tax exemption only under applicable law and continuing conditions.
A generic slide saying municipal bonds are tax-free does not replace the actual issue's opinion, the investor's circumstances, or later compliance work. A bond attorney also helps the finance team keep the issue documents internally consistent.
The principal amount, maturities, pledged revenues, call provisions, and defined parties should agree across the authorising resolution, purchase agreement, indenture, and disclosure, because a mismatch can delay closing or confuse later debt administration. Legal review is not a substitute for financial modelling: the controller still needs cash-flow forecasts, construction budgets, debt-service coverage, and reconciliation of proceeds.
The lawyer can explain legal constraints and opinions, but management owns the decision to borrow and the accuracy of the data it supplies. The role continues to matter after issuance, since an amendment, refinancing, change in pledged assets, or question about continuing compliance may need advice under the same documents and law.
Obtain current advice for a new transaction rather than copying a prior deal's opinion into a changed structure.

A city wants to issue bonds to build a clinic. Its bond counsel checks the legal authority, drafts the resolution and indenture, and identifies conditions for a proposed tax treatment. The finance office separately tests whether clinic revenues will cover debt service.

There is no formula for a bond attorney's legal opinion. A useful document-control check is authorized principal minus proposed principal: if a resolution authorizes up to $10 million and the final issue proposes $9.5 million, the numerical headroom is $500,000. The finance team revised both documents and reran its cash-flow scenarios.
Underwriter's counsel reviewed the offering materials from its client's perspective. Hana asked each lawyer to identify its client and opinion scope, so the board did not mistake one lawyer's approval for an insurer's promise of repayment. After closing, the district retained the executed opinion and documents with the final debt-service model. When it later considered changing pledged revenues, management sought fresh legal advice rather than relying on the old opinion without review.
