What it means
A supplier asks a company to stamp a purchase form. The stamp may help the supplier identify the business, but a copied impression cannot establish who approved the order, so the signer and internal approval should be checked separately.
Some businesses use rubber stamps for invoices, bank forms or correspondence while others have a formal common seal for documents executed under company law, and because the terms are used loosely in conversation, it helps to ask which object and legal effect the process means. In England and Wales and Northern Ireland, Companies Act 2006 section 45 says a company may have a common seal but need not have one, and section 44 also allows execution by qualifying signatures.
Those provisions illustrate why a universal 'stamp required' claim is unsafe. Another country, regulator or recipient may ask for a stamp or official seal, so the current legal and procedural requirements for the document in question should be confirmed, as a bank checklist can differ from the law governing a contract's execution.
A stamped invoice may be a routine commercial document, while a deed or power of attorney can need formal execution rules, so the same stamp and signature workflow is not sufficient for every document. Control custody of the stamp by limiting access to named staff, storing it securely and defining who may authorise use, because a common seal or digital image can be misused if a former employee retains a copy.
Maintain an issue or usage log for material documents, recording date, document type, counterparty, approver and who applied the mark, which supports investigation but is not itself evidence that an underlying transaction was valid. An illustrative log-completion share is stamped documents recorded in the log divided by total documents stamped in a period, and if 190 of 200 are logged, completion is 95%, which says nothing about whether the right person approved the documents.
For high-value commitments, verify authority with the company's governance records, since a director, manager or employee may have different powers under the constitution or delegated authority schedule and the stamp should not bypass those limits. A bank may also ask for specimen signatures and a company stamp, and that request should be compared with current account mandates so the stamp is used only with a verified transaction and the correct authorised signer.
A digital stamp image is especially easy to copy, so restrict where it is stored, control template access and use approved e-signature or document systems when appropriate, because a PDF with a logo is not a secure signature merely because it looks official. If the stamp is lost, treat it as a control incident by notifying relevant staff, checking recent use and considering replacement under the company's procedure, while the legal implications of documents bearing it require case-specific advice.
Misuse can bind a company in some circumstances but not automatically, because authority, apparent authority, formalities and reliance all matter under the applicable law. Do not infer that an unstamped document is invalid, since a valid signature or electronic execution may suffice under law and agreement, although a recipient can impose its own acceptable-document format for an administrative process.
Check exact company details on the mark, because a name change or group reorganisation can leave an old stamp in a drawer, and obsolete versions should be destroyed or retired with a record kept. Train staff on what the stamp does not do, which is to confirm invoice payment, board approval, document truth or legal enforceability, and treat the stamp as a controlled credential with an audit trail for consequential use.
